By accessing or using the website https://www.bovari.autos and any associated services provided by Bovari LLC, a limited liability company registered in the United States with its principal address at 1428 W Montgomery St, Lantana, FL 33462-4239, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use our website or services. We reserve the right to update or modify these terms at any time without prior notice. Your continued use of the website following any changes constitutes acceptance of those changes.
Bovari LLC provides computer systems design and related services, including computer integrated systems design, professional technical consulting, and scientific and technical services. The specific scope, deliverables, timelines, and fees for any project shall be defined in a separate statement of work or service agreement executed by both parties. Nothing in these Terms of Service constitutes a binding commitment to provide any specific service until a separate agreement is signed.
Unless otherwise agreed in writing, all intellectual property rights in the deliverables produced by Bovari LLC pursuant to a service agreement, including software code, system designs, technical documentation, and related materials, shall be owned by Bovari LLC until full payment is received. Upon receipt of full payment, ownership of the deliverables transfers to the client. Bovari LLC retains the right to use general knowledge, skills, and experience gained during the project for future engagements, provided that confidential information is not disclosed.
The client agrees to provide timely access to necessary information, personnel, systems, and facilities required for the performance of services. The client represents and warrants that it has the authority to enter into any agreement with Bovari LLC and that the information provided to us is accurate and complete. The client is responsible for maintaining the confidentiality of any account credentials and for all activities that occur under their account.
Fees for services shall be as set forth in the applicable statement of work or invoice. Unless otherwise specified, all fees are due within thirty (30) days of the invoice date. Late payments may incur interest at the rate of 1.5 percent per month or the maximum rate permitted by law, whichever is less. All fees are exclusive of applicable taxes, which shall be paid by the client. Bovari LLC reserves the right to suspend services for accounts that are past due.
To the maximum extent permitted by applicable law, Bovari LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; or (iv) unauthorized access, use, or alteration of your transmissions or content. Our total liability for any claims under these terms shall not exceed the amount paid by you to us in the twelve (12) months preceding the event giving rise to the liability.
You agree to defend, indemnify, and hold harmless Bovari LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms of Service, your violation of any applicable law or regulation, or your use of our services in a manner that infringes upon the rights of any third party.
Either party may terminate a service agreement in accordance with the termination provisions set forth in that agreement. Bovari LLC reserves the right to suspend or terminate your access to our website and services at any time, without prior notice or liability, for any reason, including if you breach these Terms of Service. Upon termination, your right to use the services will immediately cease. Provisions of these Terms of Service that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Palm Beach County, Florida, and the parties consent to the personal jurisdiction of such courts.
